General conditions of supply and sales

Applicability
These General Conditions of Supply and Sales (GCSS) are applicable to all current and future supplies of CSM Graf GmbH. Customers’ General Purchasing Conditions and contractual provisions deviating from these "GCSS" are hereby expressly rejected.

Prices
Unless agreed otherwise, the prices shall be understood EXW Steinach or Nänikon (according to the Incoterms 2000), exclusive of Value Added Tax.

Conditions of Payment
All invoices established through CSM Graf GmbH are due for payment within 30 days of the date of the invoice, without deducting discount, other deductions, expenses, taxes and fees of any kind. For export business, the conditions agreed in the individual case shall apply (e.g. advance payment or by Letter of Credit)

Delivery and Transfer of Benefit and Risk
Unless agreed otherwise, all deliveries are to be understood EXW Steinach or Nänikon (according to the Incoterms 2000). Benefit and risk are being transferred to the customer when delivery leaves the works of CSM Graf GmbH.

Complaints
All defects must be complained about in detailed writing 14 days after receipt of the goods or 8 days after receipt of the invoice at the latest. After expiration of these deadlines all warranty claims shall be refused. In case of a justified claim the supplier is free to replace the damaged goods or alternatively to grant an appropriate price reduction. But in either case any liability for consequential damages remains impossible.

All these information are considered as guidance. Our recommended application technologies are based on substantial experiences of our medical experts in the field. However, such recommendations are without engagement and are not binding at all. They do not exempt our customer from proving and carrying out their own review of the applicability of our products and procedures for their methods and area of application. All responsibility has to be taken by the customer himself. CSM Graf GmbH disclaims all liability which may be caused of incorrect use.

Right of property of the goods
The CSM Graf GmbH remains owner of the items/goods up to the complete payment.

Place of Execution, Jurisdiction and Law Applicable
The place of execution and exclusive place of jurisdiction is the business location of the supplier. The only law to be applied is Swiss law.
